1. Introduction and Acceptance of Terms

Welcome to Thizz.ai, a technology platform operated by Thizz LLC, a Texas limited liability company, doing business as ("DBA") "Out the Box Productions" (hereinafter referred to as "Thizz," "we," "us," or "our"). Thizz is headquartered and operates within the State of Texas, United States of America. By accessing, downloading, registering for, or using the Thizz.ai platform, mobile application, website, or any related services (collectively, the "Platform" or "Services"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service (the "Terms"), our Privacy Policy, and all applicable laws and regulations of the State of Texas and the United States of America.

If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Platform and refrain from accessing any Services provided by Thizz LLC. Your continued use of the Platform constitutes your affirmative acceptance of these Terms and any future modifications thereto.

Thizz LLC expressly reserves the right to modify, amend, update, or revise these Terms at any time and at its sole discretion. All modifications will be effective immediately upon posting on the Platform. It is your responsibility to review these Terms periodically for changes. Your continued use of the Platform following the posting of any modifications constitutes your acceptance of the revised Terms.

2. Entity Information and Legal Classification

2.1 Company Information

Thizz LLC is a duly formed and registered Texas limited liability company, operating in good standing under the laws of the State of Texas. Thizz LLC conducts business under the registered doing business as ("DBA") name "Out the Box Productions," a registered trade name filed with the appropriate Texas state and county authorities. Out the Box Productions is an actual registered business entity operating in the State of Texas, not a fictitious name. All references to "Thizz," "Thizz.ai," "Out the Box Productions," or any variation thereof within these Terms, on the Platform, or in any communications shall refer collectively to Thizz LLC, its officers, directors, employees, agents, contractors, affiliates, subsidiaries, and assigns.

2.2 Technology Platform — NOT a Transportation Network Company

CRITICAL CLARIFICATION: Thizz LLC is a technology platform and is expressly and unequivocally NOT a Transportation Network Company ("TNC") as defined under Texas Transportation Code Chapter 602, Texas Occupations Code Chapter 2402, or any other applicable federal, state, or local law, ordinance, or regulation. Thizz does not provide transportation services. Thizz does not employ drivers. Thizz does not own, operate, manage, control, or maintain any vehicles. Thizz does not dispatch vehicles in the manner of a TNC. Thizz does not hold itself out as a common carrier, motor carrier, taxi service, limousine service, or any other regulated transportation provider.

Thizz LLC operates exclusively as an online technology intermediary and digital bulletin board that facilitates connections between individuals who wish to share transportation costs through lawful carpooling arrangements as permitted under Texas Occupations Code §2402.001 and the cost-sharing exemption under §2402.111. The Platform serves as a digital marketplace and scheduling tool that enables Users to find, communicate with, and coordinate shared rides with other Users who are traveling along similar routes or to similar destinations.

All transportation arrangements made through the Platform are strictly peer-to-peer carpooling arrangements between independent Users. Thizz LLC is not a party to any carpooling arrangement, does not employ, retain, or contract with any driver, and exercises no control over the manner or means by which any User provides or receives transportation. Drivers are independent private individuals who are offering to share their personal vehicle and the cost of a trip they are already undertaking with other riders who are traveling along the same route. Riders are independent private individuals who are seeking to share the cost of travel with a driver who is already going their direction.

This distinction is critical and fundamental to the legal operation of the Platform. By using the Platform, all Users acknowledge and agree that: (a) Thizz LLC is a technology service provider, not a transportation provider; (b) Thizz LLC is not an employer of any User and does not direct, control, or supervise any transportation activity; (c) All Users are independent actors who make their own decisions about whether, when, where, and with whom to carpool; (d) No employer-employee relationship, principal-agent relationship, or joint venture relationship exists between or among Users or between Users and Thizz LLC by virtue of using the Platform; (e) Thizz LLC's role is strictly limited to providing the digital infrastructure that enables Users to find and connect with one another for lawful cost-sharing carpooling.

2.3 Service Tiers — Carpool and Vanpool

The Platform offers two service tiers: (a) Carpool — shared everyday commuter rides in personal passenger vehicles priced at the IRS standard mileage rate divided by vehicle capacity, with no surge pricing and no driver profit; (b) Vanpool — group runs in passenger vans (up to ten (10) seats) for work crews and commuter corridors, priced per seat under the same cost-sharing cap, and supporting multiple bookings (multiple riders reserving seats) in the same vehicle.

Both tiers use Stripe for secure payment processing. Each tier supports multiple seats per booking so several riders may reserve seats in the same car or van. The Platform's on-demand booking module uses GPS to auto-fill your pickup location, displays ranked matches on a live map, and allows you to reserve one or more seats in a single vehicle.

3. Texas Carpooling Law Compliance

3.1 Statutory Framework

The Platform operates in strict compliance with the carpooling and cost-sharing exemptions established under Texas law, specifically: (a) Texas Occupations Code §2402.001 — Definitions and exemptions for shared-expense carpooling arrangements; (b) Texas Occupations Code §2402.111 — Cost-sharing exemption permitting the sharing of actual and reasonable trip expenses among participants in a carpool arrangement; (c) Texas Occupations Code §2402.002 and related provisions regarding regulated transportation services; (d) Texas Transportation Code applicable provisions regarding vehicle safety, registration, and operation; (e) All applicable federal statutes, including the Internal Revenue Service standard mileage rate caps for cost reimbursement.

3.2 Cost-Sharing Exemption Requirements

Under Texas Occupations Code §2402.001 and §2402.111, a shared-expense carpooling arrangement is exempt from regulation as a commercial transportation service only if ALL of the following conditions are met: (a) The driver is undertaking the trip for the driver's own purpose, destination, and schedule, and is not providing the trip primarily for the purpose of carrying passengers for compensation; (b) The cost shared among participants does not exceed the actual and reasonable expenses of the trip, including fuel, wear and tear, and tolls; (c) The amount paid by each rider does not exceed the driver's proportional share of the actual and reasonable expenses of the trip; (d) The driver does not generate a profit from the shared-expense arrangement; (e) The arrangement is not a regularly scheduled commercial shuttle or transit service; (f) The driver holds a valid standard Texas driver's license; (g) The vehicle used is a personal passenger vehicle, not a commercial vehicle.

Thizz LLC enforces these requirements through its expense-contribution calculation engine, which uses the Internal Revenue Service Standard Mileage Rate (currently $0.76 per mile for 2026 under Texas Occupations Code §2402.001) as the maximum legal cost cap. The Platform's pricing engine divides the maximum allowable trip cost by the vehicle's total passenger capacity to determine the per-seat cost, ensuring that no rider pays more than their proportional share and no driver generates a profit.

3.3 No Profit Guarantee

The Platform's expense-contribution calculation engine is designed and configured to ensure that under no circumstances does a driver generate a profit from any carpooling arrangement facilitated through the Platform. The maximum expense contribution per seat is calculated as: Maximum Trip Cost = Distance (miles) × IRS Standard Mileage Rate ($0.76/mile); Per-Seat Cost = Maximum Trip Cost ÷ Vehicle Capacity.

For example, a 100-mile trip in a 4-passenger vehicle: Maximum Trip Cost = 100 × $0.76 = $76.00; Per-Seat Cost = $76.00 ÷ 4 = $19.00 per seat. If fewer than the maximum number of seats are filled, the driver covers the unfilled portion out of pocket. This is the fundamental principle of cost-sharing carpooling — the driver is already undertaking the trip for their own purposes and is merely offsetting their actual costs by sharing expenses with other travelers going the same direction. The driver is never compensated above their actual and reasonable expenses.

3.4 Trip Frequency Limitations

To maintain the carpooling exemption and prevent any arrangement from being classified as a commercial service, the Platform limits each driver to a maximum of three (3) round-trip carpooling arrangements per calendar day. This limitation is enforced through the Platform's software and is consistent with Texas Occupations Code §2402.001, which distinguishes carpooling from regularly scheduled commercial shuttle services.

4. Insurance Requirements — All Three Phases

4.1 Driver Insurance Responsibility — Explicit and Absolute

CRITICAL: Under no circumstances does Thizz LLC provide, arrange, supplement, guarantee, or maintain any insurance coverage for any User, driver, rider, vehicle, or trip. ALL insurance coverage for ALL phases of any carpooling arrangement facilitated through the Platform is the SOLE AND EXCLUSIVE responsibility of the driver. Thizz LLC is a technology platform and maintains NO insurance of any kind for any User or any trip. There is no gap insurance, no contingent insurance, no excess insurance, and no primary insurance provided by Thizz LLC at any time or for any reason. The driver's personal automobile insurance policy is the sole and exclusive insurance coverage that applies during any and all phases of every trip.

By listing a ride on the Platform, each driver explicitly represents, warrants, and covenants that they maintain, at their own expense, the following insurance coverage for ALL three phases of every trip:

4.2 Phase 1 — Pre-Trip / App Open / Waiting for Match

The driver maintains active and continuous personal automobile insurance coverage during Phase 1, which begins when the driver opens the Thizz application and makes themselves available for matching, and ends when a rider is matched and the driver accepts the match. During this phase, the driver's personal auto insurance policy must provide, at minimum: (a) Liability coverage meeting or exceeding Texas minimum requirements under Texas Transportation Code §601.072: $30,000 per person for bodily injury, $60,000 per occurrence for bodily injury, and $25,000 for property damage (30/60/25 coverage); (b) The policy must not contain a specific exclusion for carpool and vanpool activities. If the driver's personal auto insurance policy contains a carpool and vanpool exclusion, the driver must obtain a carpool and vanpool endorsement or supplementary coverage from their insurance provider; (c) The driver must maintain coverage continuously from the moment they indicate availability on the Platform until the trip is fully completed.

4.3 Phase 2 — En Route to Pickup / During Trip

The driver maintains active and continuous personal automobile insurance coverage during Phase 2, which begins when the driver accepts a rider match and proceeds to the pickup location, includes the duration of the trip with the rider in the vehicle, and ends when the rider has been dropped off at the agreed destination. During this phase, the driver's personal auto insurance policy must provide, at minimum: (a) Liability coverage of at least $30,000 per person / $60,000 per occurrence / $25,000 property damage (Texas minimum under §601.072); (b) The driver is strongly encouraged but not required to maintain higher liability limits, comprehensive coverage, collision coverage, and uninsured/underinsured motorist coverage; (c) The driver's insurance must be the primary and sole coverage during this phase; (d) No insurance from Thizz LLC applies during this or any other phase.

4.4 Phase 3 — Post-Trip / After Drop-Off

The driver maintains active and continuous personal automobile insurance coverage during Phase 3, which begins immediately after the rider has been dropped off at the agreed destination and continues while the driver is returning to their own destination or next activity. During this phase, the driver's personal auto insurance policy must provide, at minimum: (a) The same liability coverage as required during Phase 1 and Phase 2; (b) Continuous coverage with no gaps during the transition from Phase 2 to Phase 3; (c) Coverage must remain active until the driver has completed all carpooling activity and returned to their personal use of the vehicle.

4.5 Driver Insurance Verification

Thizz LLC requires all drivers to submit proof of valid, current personal automobile insurance before being permitted to list rides on the Platform. Drivers must upload their insurance policy documentation, including the insurance carrier name, policy number, and expiration date. Thizz LLC may verify the submitted insurance information and reserves the right to remove any driver from the Platform whose insurance has lapsed, expired, been cancelled, or is otherwise invalid. However, Thizz LLC is not an insurance company, does not guarantee the accuracy or validity of any insurance documentation, and is not liable for any insurance-related claims, disputes, or deficiencies.

4.6 Rider Insurance Acknowledgment

By booking a ride through the Platform, each rider explicitly acknowledges and agrees that: (a) Thizz LLC provides NO insurance coverage for any rider, trip, or vehicle; (b) The rider is responsible for their own health, medical, travel, and personal insurance; (c) The rider relies solely on the driver's personal automobile insurance in the event of any accident, injury, or damage; (d) The rider waives any claim against Thizz LLC for any insurance-related matter, deficiency, or gap.

5. Refund Policy — Driver and Rider Responsibility

5.1 Platform Financial Neutrality

CRITICAL CLARIFICATION: Thizz LLC is a technology platform and does NOT hold, collect, manage, distribute, or guarantee any refunds. ALL refunds for cancelled trips, no-shows, disputes, or any other reason are the SOLE responsibility of the DRIVER or the RIDER — never the platform. Thizz LLC does not maintain a refund fund, does not issue refunds from its own accounts, and does not serve as an intermediary in any refund transaction.

The Platform facilitates the initial payment through Stripe as a payment processor, but once funds are transferred to the driver's account, any refund obligation falls entirely on the driver or rider as determined by the cancellation policy below. Thizz LLC earns its revenue exclusively from a Technology Access Fee charged per seat at the time of booking. This Technology Access Fee is non-refundable and is retained by Thizz LLC regardless of whether a trip is completed, cancelled, or disputed.

5.2 Rider Cancellation Refunds

If a rider cancels their booking more than twelve (12) hours before the scheduled departure time, the rider is entitled to a full refund of their payment EXCLUDING the non-refundable platform fee. The refund shall be issued by the DRIVER directly to the rider, not by Thizz LLC. If the rider cancels within twelve (12) hours of the scheduled departure time, no refund is owed to the rider. The driver retains the full payment as an empty-seat guarantee, compensating the driver for the inability to fill the cancelled seat on short notice.

5.3 Driver Cancellation Refunds

If a driver cancels a trip more than twenty-four (24) hours before the scheduled departure time, the driver must issue a full refund to all affected riders, including the platform fee amount. If the driver cancels within twenty-four (24) hours of the scheduled departure, the driver must issue a full refund to all riders AND is subject to a fifty dollar ($50.00) penalty which shall be withheld from the driver's next payout and applied as a credit toward the affected riders' future bookings on the Platform. If the driver cancels within twelve (12) hours, the driver faces the same penalty plus the risk of account review and potential suspension.

5.4 No-Show Policy

If a rider fails to appear at the agreed pickup location at the agreed time (a "no-show"), the rider forfeits the full payment. No refund is owed. The driver retains the full payment. If a driver fails to appear at the agreed pickup location at the agreed time, the driver must issue a full refund to the rider within forty-eight (48) hours, and the driver faces account review and potential suspension.

5.5 Dispute Resolution for Refunds

In the event of a dispute regarding a refund, the rider and driver are encouraged to resolve the matter directly between themselves. Thizz LLC may, at its sole discretion, provide communication tools to facilitate the resolution but will NOT mediate, arbitrate, or determine the outcome of any refund dispute. Thizz LLC does not guarantee the outcome of any refund dispute and is not liable for any driver's failure to issue a required refund. If a driver fails to issue a required refund, the rider's sole remedy is to pursue the matter directly with the driver, through the rider's credit card company's chargeback process, or through the legal system.

5.6 Technology Access Fee Retention

The Technology Access Fee charged per seat at the time of booking is the sole revenue source for Thizz LLC. This fee is non-refundable under all circumstances, including but not limited to trip cancellation, no-show, dispute, or any other event. The Technology Access Fee covers software maintenance, secure payment processing (Stripe), digital infrastructure, operation of the proprietary matching algorithm, user verification, and customer support tools. By using the Platform, all Users acknowledge and agree that the Technology Access Fee is earned at the time of booking and is non-refundable.

6. Sex Offender Policy

6.1 Zero Tolerance

Thizz LLC maintains an absolute, zero-tolerance policy regarding registered sex offenders. No individual who is listed on any state or federal sex offender registry, including the Texas Public Sex Offender Registry maintained by the Texas Department of Public Safety, is permitted to use the Platform in any capacity, whether as a driver, rider, or any other role.

6.2 No Background Checks for Carpool and Vanpool (Texas Law)

Under Texas Occupations Code §2402.001 and §2402.111, shared-expense carpool and vanpool arrangements are exempt from commercial transportation regulation. Consistent with that exemption, Thizz LLC does NOT conduct, require, or arrange criminal background checks, sex-offender-registry searches, motor-vehicle-record checks, or identity-verification background screening for any driver participating in carpool or vanpool. Thizz is a technology platform — not a TNC — and is not obligated to perform such screening for carpool or vanpool under Texas law.

By using the Platform for carpool or vanpool, every User expressly acknowledges and agrees that: (a) Thizz has NOT screened any driver's criminal, sex-offender, or driving history; (b) Thizz makes NO representation regarding the safety, character, or background of any driver or rider; (c) each User is solely responsible for evaluating the safety of any carpool or vanpool arrangement and the people they ride with; (d) Users ride or drive entirely at their own risk. If a User has any concern about another User, that User should not ride with them and should report the concern through the Platform's reporting tools and, where appropriate, to law enforcement.

Thizz LLC nevertheless maintains a zero-tolerance policy: any User found to be a registered sex offender, or who engages in sexual misconduct, harassment, or predatory behavior, will be permanently banned from the Platform and reported to law enforcement.

6.3 Reporting and Removal

If any User suspects or becomes aware that another User is a registered sex offender or has engaged in any sexual misconduct, harassment, or predatory behavior, they must immediately report the matter to Thizz LLC through the Platform's reporting tools and to local law enforcement. Upon receiving a report, Thizz LLC will immediately suspend the accused User's account pending investigation. If the report is verified, the accused User will be permanently banned from the Platform and the matter will be referred to appropriate law enforcement authorities.

7. Non-Discrimination Policy

7.1 Equal Treatment

Thizz LLC is committed to providing a Platform that is free from discrimination. All Users are entitled to use the Platform without regard to race, color, national origin, religion, sex, gender, gender identity, sexual orientation, age (provided the User is at least eighteen (18) years of age), disability, veteran status, genetic information, marital status, or any other characteristic protected by federal, state, or local law, including the Texas Labor Code Chapter 21 and the federal Civil Rights Act of 1964.

7.2 Driver Non-Discrimination Obligations

Drivers may not refuse to provide a ride to any rider based on any protected characteristic. Drivers may not cancel a booking, refuse to pick up a rider, or treat a rider differently based on race, color, national origin, religion, sex, gender, gender identity, sexual orientation, age, disability, veteran status, or any other protected characteristic. A driver who is found to have discriminated against any rider will be permanently removed from the Platform.

7.3 Rider Non-Discrimination Obligations

Riders may not refuse to accept a ride from a driver or request a different driver based on any protected characteristic. Riders may not harass, demean, or treat any driver differently based on any protected characteristic. A rider who is found to have discriminated against any driver will be permanently removed from the Platform.

8. Anti-Hate Speech and Harassment Policy

8.1 Prohibition on Hate Speech

Thizz LLC maintains a zero-tolerance policy regarding hate speech. No User may use the Platform to communicate, post, display, or transmit any content that constitutes hate speech, which is defined as any speech, gesture, conduct, writing, or display that attacks, threatens, insults, or demeans a person or group on the basis of race, color, national origin, religion, sex, gender, gender identity, sexual orientation, disability, or any other protected characteristic.

8.2 Prohibition on Harassment

No User may use the Platform to harass, stalk, threaten, intimidate, bully, or coerce any other User. This includes, but is not limited to, unwanted sexual advances, requests for sexual favors, verbal comments of a sexual nature, physical contact, displaying sexually suggestive images, or any other conduct of a sexual or harassing nature.

8.3 Enforcement

Any User who violates the hate speech or harassment policy will have their account immediately suspended pending investigation. If the violation is verified, the User will be permanently banned from the Platform. Thizz LLC reserves the right to report violations to law enforcement authorities. Users who experience hate speech or harassment should immediately report the matter through the Platform's reporting tools and to local law enforcement.

9. User Eligibility and Registration

9.1 Age Requirement

All Users must be at least eighteen (18) years of age to register for and use the Platform. By registering, you represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into a binding contract.

9.2 Account Registration

Users must provide accurate, complete, and current information during the registration process, including a valid email address, phone number, and full legal name. Users may not register using a false identity, another person's identity, or a fictitious name.

9.3 Account Security

Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account. Users must immediately notify Thizz LLC of any unauthorized use of their account.

10. User Conduct and Prohibited Activities

All Users agree to comply with all applicable federal, state, and local laws and regulations when using the Platform. The following activities are strictly prohibited: (a) Using the Platform for any illegal purpose or in violation of any law; (b) Transporting illegal substances, including but not limited to controlled substances, illegal drugs, or drug paraphernalia; (c) Transporting open containers of alcohol in violation of Texas law; (d) Transporting firearms or weapons in violation of applicable law; (e) Engaging in any commercial activity through the Platform, including using the Platform as a taxi, limousine, or commercial shuttle service; (f) Operating a vehicle without a valid driver's license or insurance; (g) Misrepresenting oneself, one's vehicle, or one's insurance status; (h) Attempting to circumvent the Platform's payment system by arranging off-platform payments; (i) Using the Platform to solicit, proposition, or harass other Users; (j) Creating multiple accounts or sharing account credentials; (k) Attempting to interfere with, disrupt, or disable the Platform's servers, networks, or security systems; (l) Scraping, copying, or redistributing content from the Platform without authorization.

11. Vehicle Requirements

All vehicles used for carpooling arrangements through the Platform must meet the following requirements: (a) The vehicle must be a personal passenger vehicle (sedan, SUV, minivan, or passenger van); (b) The vehicle must not be older than ten (10) model years from the current calendar year; (c) The vehicle must have current, valid Texas vehicle registration and inspection; (d) The vehicle must be in safe operating condition with functioning seatbelts for all passengers; (e) The vehicle must not be a commercial vehicle, taxi, or limousine; (f) The vehicle's seating capacity must not exceed ten (10) passengers (to remain within the carpooling exemption).

12. Payment Processing

All payments through the Platform are processed by Stripe, a third-party payment processor. Thizz LLC does not directly handle, store, or process any credit card or payment information. By making a payment through the Platform, you agree to Stripe's terms of service and privacy policy.

The total amount charged to a rider at the time of booking includes: (a) Driver reimbursement (100% to the driver, calculated using the IRS standard mileage rate divided by vehicle capacity); (b) A Technology Access Fee (retained by Thizz LLC as its sole revenue source); (c) Texas state sales tax (8.25%) applied where applicable; (d) Stripe payment processing fees (2.9% + $0.30 per transaction, paid by the rider).

13. Disclaimers and Limitation of Liability

13.1 Platform Provided "As Is"

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. Thizz LLC disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. Thizz LLC does not warrant that the Platform will be uninterrupted, error-free, secure, or that any match will result in a safe or satisfactory carpooling experience.

13.2 No Warranty of Driver or Rider Quality

Thizz LLC does not guarantee the quality, safety, reliability, or fitness of any driver, rider, or vehicle. All Users use the Platform at their own risk. Thizz LLC does not conduct in-person interviews, vehicle inspections, or real-time monitoring of any User or trip. For carpool and vanpool, Thizz does NOT conduct criminal background checks, sex-offender-registry searches, or motor-vehicle-record checks on drivers, consistent with the cost-sharing carpool exemption under Texas Occupations Code §2402.001 and §2402.111; Users acknowledge that no such screening has been performed and ride entirely at their own risk. Thizz may offer optional AI-assisted face verification (comparing a selfie to an ID document) to help Users confirm identity, but this is not a criminal background check and does not screen any registry or driving history.

13.3 Limitation of Liability

To the maximum extent permitted by law, Thizz LLC, its officers, directors, employees, agents, contractors, and affiliates shall NOT be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for personal injury, property damage, emotional distress, loss of income, loss of profits, or any other damages arising out of or in connection with the use of the Platform or any carpooling arrangement facilitated through the Platform. The total aggregate liability of Thizz LLC for any claim shall not exceed the platform fee charged for the specific booking giving rise to the claim.

13.4 Assumption of Risk

By using the Platform, all Users explicitly assume all risks associated with carpooling, including but not limited to the risk of accident, injury, death, property damage, theft, harassment, and all other foreseeable and unforeseeable risks. Users acknowledge that carpooling with strangers involves inherent risks that cannot be eliminated by any technology platform.

14. Indemnification

All Users agree to indemnify, defend, and hold harmless Thizz LLC, its officers, directors, employees, agents, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) The User's use of the Platform; (b) The User's violation of these Terms; (c) The User's violation of any law or the rights of any third party; (d) Any carpooling arrangement the User participates in through the Platform; (e) Any accident, injury, or damage caused by or to the User.

15. Dispute Resolution and Arbitration

15.1 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or any carpooling arrangement facilitated through the Platform shall be resolved by final and binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Dallas County, Texas. The arbitrator's award shall be final and binding, and judgment may be entered on the award in any court of competent jurisdiction.

15.2 Class Action Waiver

All disputes shall be arbitrated on an individual basis only. No class arbitration or consolidated arbitration is permitted. No User may participate in a class action or representative proceeding against Thizz LLC.

15.3 Governing Law and Venue

These Terms and all disputes shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. The exclusive venue for all proceedings shall be Dallas County, Texas.

16. Account Suspension and Termination

Thizz LLC reserves the right to suspend, deactivate, restrict, or terminate any User's account at any time and for any reason, including but not limited to: (a) Violation of these Terms; (b) Fraud, dishonesty, or misrepresentation; (c) Unsafe driving or behavior; (d) Discrimination or hate speech; (e) Failure to maintain valid insurance or licensing; (f) Excessive cancellations or no-shows; (g) Any conduct that Thizz LLC deems, in its sole discretion, to be harmful to the Platform or other Users.

Upon termination, the User's right to use the Platform immediately ceases. Thizz LLC is not obligated to provide any reason for account suspension or termination.

17. Intellectual Property

The Platform, including all software, designs, logos, trademarks, service marks, text, graphics, and content, is the property of Thizz LLC / Out the Box Productions and is protected by United States intellectual property laws. No User may copy, reproduce, distribute, or create derivative works from the Platform without the express written permission of Thizz LLC.

18. Modifications to Terms

Thizz LLC reserves the right to modify these Terms at any time. All modifications will be effective immediately upon posting. Users are encouraged to review these Terms regularly. Continued use of the Platform after any modification constitutes acceptance of the revised Terms.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be severed and the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between Thizz LLC and all Users regarding the use of the Platform and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral.

21. No Waiver

No failure or delay by Thizz LLC in exercising any right or provision under these Terms shall operate as a waiver of such right or provision. The waiver of any right or provision shall not constitute a waiver of any other right or provision.

22. Assignment

Users may not assign, transfer, or sublicense their account or these Terms without the prior written consent of Thizz LLC. Thizz LLC may assign these Terms freely in connection with any merger, acquisition, sale of assets, or other corporate transaction.

23. Force Majeure

Thizz LLC shall not be liable for any failure or delay in performance under these Terms caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, power outages, internet failures, or pandemics.

24. Regulatory Compliance Protocols

24.1 Incidental Commuter Classification

All drivers using the Platform are expressly classified as Incidental Commuters and Non-Commercial Carpool and Vanpool Participants. Drivers do not provide transportation for profit, are not common carriers, and are not engaged in a commercial transportation enterprise. A driver may receive a profit only under the narrow commuter exception of Texas Occupations Code §2402.001, which permits a driver to accept compensation only when performing no more than three (3) round-trips per calendar day strictly between the driver's registered Home Address and their registered Work/School Address.

24.2 Shared Expense Contribution — Not a Fare

The money a rider pays to a driver through the Platform is legally labeled and treated exclusively as a Shared Expense Contribution (a voluntary reimbursement for shared operational expenses), and is never characterized as a "fare," "wage," "salary," or commercial charge. No rider payment constitutes a commercial fare for transportation services. The passenger's payment is a voluntary reimbursement for shared operational expenses (fuel, wear-and-tear, and tolls), not a commercial fare.

24.3 Technology Access Fee

The Technology Access Fee is the sole charge retained by Thizz LLC and covers software maintenance, secure payment processing (Stripe), and digital infrastructure. This fee is not a transportation charge and is not derived from tolls or driver reimbursement.

24.4 No-Cash Rule

All payments between riders and drivers must flow exclusively through the Platform's digital wallet and Stripe payment processing. Cash handoffs are strictly prohibited. Any off-platform cash payment legally reclassifies the arrangement as an illegal, unregulated street hail (jitney/gypsy cab operation) and is grounds for immediate and permanent removal from the Platform.

24.5 Home and Work Address Verification & Commuter Geofence

Every driver must register a fixed Home Address and a fixed Work/School Address in their profile before being permitted to accept riders. The Platform uses these addresses to geofence matching: a driver may only be matched with riders whose pickups and drop-offs sit directly along that driver's specific registered commute. Drivers cannot accept matches outside their registered commute corridor.

24.6 Hard Daily Trip Counter

The Platform's backend maintains a hard daily counter of one-way legs completed by each driver. Once a driver completes three (3) round-trips (six (6) one-way legs) in any 24-hour cycle, the backend automatically logs the driver out and blocks them from accepting any additional passengers until the next calendar day. This limit preserves the carpooling exemption and is enforced automatically by the Platform's compliance engine.

24.7 Airport Geofencing

Major Texas airports — including Dallas/Fort Worth International (DFW), Dallas Love Field (DAL), Austin-Bergstrom International (AUS), Houston Bush Intercontinental (IAH), and Houston Hobby (HOU) — maintain strict ground-transportation regulations. The Platform enforces a virtual geofence around these airports. If a driver who is not airport-permitted attempts to pick up or drop off a rider inside an airport zone, the Platform automatically blocks the match to prevent unauthorized commercial transit operation on airport property and associated municipal fines.

24.8 Toll Reimbursement Split

Toll costs (NTTA, TxTag, and similar) are added to the rider's total price and passed one hundred percent (100%) directly to the driver to cover the driver's actual transit expenses. The Platform never takes any portion of its Technology Access Fee out of toll reimbursements; the Technology Access Fee is calculated solely on the mileage reimbursement, never on tolls, so the cost-sharing math is preserved and drivers never pay out of pocket to transport riders.

24.9 Age Verification and Minors

The registration flow requires each user to provide a date of birth. If the user is under eighteen (18) years of age, the backend blocks account creation as a driver, and unaccompanied minors are strictly prohibited from booking or providing rides. A parent or guardian may set up a managed sub-account only as expressly permitted by Thizz LLC. Unaccompanied minors are strictly prohibited from booking or providing rides.

24.10 Zero-Tolerance Impairment Protocol

The Platform provides an easily accessible Report Driver for Suspected Impairment button on the rider's active trip screen. The moment an impairment report is submitted, the backend automatically and immediately suspends the driver's access to the matching pool pending human review. This zero-tolerance safety protocol is designed to prevent accidents and limit exposure to punitive damages under Texas law.

24.11 Proprietary Matching Algorithm

The Platform's backend matching logic is proprietary and a trade secret of Thizz LLC. The algorithm, scoring weights, and compliance determinations are not disclosed to users and remain the confidential intellectual property of Thizz LLC.

24.12 Insurance Livery Exclusion Acknowledgment

All Users acknowledge that standard personal automobile insurance policies contain a strict livery exclusion: if a driver accepts money for carrying passengers, the driver's personal insurance may be voided during that trip. The Terms expressly state that the passenger's payment is a voluntary reimbursement for shared operational expenses, not a commercial fare, and that all insurance remains the sole responsibility of the driver as set forth in Section 4.

25. ThizzRides Music, Tipping & Affiliate Program

25.1 In-Car Music Entertainment

The Platform includes an optional in-car music feature ("ThizzRides Music") that allows artists and Users to upload singles, EPs, albums, cover art, and artist biographies for playback during rides. ThizzRides Music is a promotional and entertainment tool only; Thizz LLC does not license, host, or warrant the underlying musical compositions or recordings.

25.2 Tipping

Users may voluntarily tip artists through the Platform. Tips are recorded against the relevant Song record. Until Stripe payment processing is fully enabled for ThizzRides Music, tips function as a recorded support counter and no funds are collected or transferred by Thizz LLC. When live tip payments are enabled, all tips (less Stripe processing fees) are forwarded to the artist; Thizz LLC retains no portion of any tip. Tips are non-refundable once processed.

25.3 Affiliate Referral Program — 5% Ride Commission

The Platform operates an Affiliate Referral Program that allows any registered User ("Affiliate") to earn commissions by sharing Thizz content — including ThizzRides Music songs, flyer links, and direct referral links — with others. The following terms govern participation:

25.3.1 Enrollment. A User enrolls as an Affiliate by providing a valid email address through the Platform's Affiliate Dashboard. Upon enrollment, the Platform generates a unique affiliate code (e.g., "THIZZ-XXXXXX") that is embedded in all shareable links. Enrollment is free and does not require any payment.

25.3.2 Referral Tracking. When a new visitor arrives at the Platform using a link containing an Affiliate's referral code (the "Referral Link"), the Platform records the referral code. If that visitor subsequently signs up on the Platform's waitlist using their email address, a referral record is created linking the visitor's email to the Affiliate's code. The referral is tracked as "pending" until the referred individual completes a paid ride booking.

25.3.3 Commission Rate. When a referred User completes a paid ride booking through the Platform's Stripe checkout, the Affiliate earns a commission of five percent (5%) of the total ride amount paid by the referred User for that trip. The commission is calculated as: Commission = Total Ride Amount × 0.05. The commission is credited to the Affiliate's balance automatically upon successful payment confirmation by Stripe. Thizz LLC may adjust the commission rate at any time; any change applies prospectively to rides booked after the change, not to rides already completed.

25.3.4 No Direct Cash Payouts. Affiliate commissions accumulate in the Affiliate's Platform balance as a record of earned referral credits. Thizz LLC does NOT pay out affiliate commissions in cash, by check, by bank transfer, by Stripe transfer, or by any other direct payment method. Commissions are tracked internally and have no cash value unless and until Thizz LLC, in its sole discretion, establishes a formal payout mechanism. Affiliates acknowledge that accumulated balances are informational records of referral activity and do not constitute a debt, obligation, or liability of Thizz LLC.

25.3.5 Commission Eligibility. A commission is earned only when ALL of the following conditions are met: (a) the referred individual used the Affiliate's Referral Link to arrive at the Platform; (b) the referred individual signed up using the same email address associated with the referral; (c) the referred individual completed a paid ride booking through the Platform's Stripe checkout; (d) the payment was successfully processed and not refunded, charged back, or disputed. No commission is earned for waitlist signups alone, free rides, cancelled bookings, refunded trips, or any activity that does not result in a completed paid ride.

25.3.6 Prohibited Affiliate Conduct. Affiliates may NOT: (a) create multiple accounts to generate self-referrals; (b) use spam, unsolicited mass email, or automated bots to distribute Referral Links; (c) misrepresent the Platform or make false claims about potential earnings; (d) bid on "Thizz" or related trademarks in paid search advertising; (e) use cloaked, redirected, or hidden links that obscure the affiliate code. Violations may result in immediate forfeiture of all accumulated commissions and permanent removal from the Affiliate Program.

25.3.7 Program Modifications & Termination. Thizz LLC reserves the right to modify, suspend, or terminate the Affiliate Program at any time and for any reason. Thizz LLC may change the commission rate, adjust eligibility requirements, or discontinue the program entirely. Thizz LLC makes no guarantee of referral earnings, which depend on completed, paid bookings and active program terms. Affiliates acknowledge that the program is offered as a promotional incentive and does not constitute an employment relationship, independent contractor agreement, or partnership with Thizz LLC.

25.4 Upload Responsibility

Users who upload music represent and warrant that they own or hold the necessary rights to the audio, cover art, and biographical content they submit, and that it does not infringe any third-party copyright, trademark, or right of publicity. Thizz LLC may remove any uploaded content at its discretion and reserves the right to suspend Users who upload infringing or unlawful content.

26. Recurring Rides & Schedules

The Platform allows Users to create recurring ride schedules (weekly, bi-weekly, monthly, or yearly) and to set an optional end date and vacation pause window. A recurring schedule is a convenience tool — it does not create a guaranteed seat or a commercial service. Each individual trip within a recurring schedule remains a separate peer-to-peer cost-sharing arrangement subject to all terms above, including the three (3) round-trip daily limit under Section 3.4. During a vacation pause window, the Platform will not surface the scheduled ride for matching. Drivers remain responsible for maintaining valid insurance and a lawful purpose for each trip actually undertaken.

27. Grey-List & No-Show Policy

27.1 Grey-List

Thizz LLC may place a User on a platform grey-list after repeated no-shows, payment disputes, abusive behavior, fraud attempts, or spam. A grey-listed User may be restricted from creating or accepting bookings. Grey-list status, the reason, and the no-show count are recorded against the relevant Booking record. Users may appeal a grey-list determination through the Platform's support tools.

27.2 No-Show Counters

The Platform tracks no-show events per Booking. Excessive no-shows (generally three (3) or more) may result in automatic grey-listing and account review, consistent with Section 16 (Account Suspension and Termination).

28. Live-Tracking Share Links

When a User is party to an active trip, the Platform generates a shareable live-tracking link ("/track/:id"). This link allows anyone who possesses it to view the ride's live status, estimated arrival, and route on a map for the duration of the active trip. Users should share this link only with trusted contacts. Thizz LLC is not responsible for the consequences of sharing a tracking link with unintended recipients. Tracking links do not reveal the User's account information, payment details, or contact information beyond what is necessary to display trip status.

29. Call Masking — Privacy-Preserving Communication

29.1 Masked Calls

The Platform offers an optional call-masking feature that allows a rider and driver to speak by phone without revealing either party's real phone number. When a User initiates a masked call, the Platform routes the call through a proxy phone number so that both parties see only the masked number on caller ID. Neither party's real phone number is exposed to the other at any time.

29.2 Recording & Audit

Masked calls may be recorded for safety, dispute resolution, and fraud prevention. The Platform logs the initiation of each masked call (call SID, proxy number, timestamp, and initiating User) in an audit trail. Call recordings are retained for ninety (90) days and may be reviewed by Thizz LLC in connection with a safety report or dispute. Users are responsible for complying with all applicable Texas and federal call-recording consent laws.

29.3 No Guarantee of Availability

Call masking depends on a third-party telephony provider (Twilio). The Platform may suspend or limit masked calling at any time, and masked calling may be unavailable if the telephony provider is not configured. When masked calling is unavailable, Users should use the Platform's in-app messaging tools.

29.4 Abuse Prevention

Users may not use call masking to harass, threaten, or stalk another User. Misuse of the call-masking feature is grounds for immediate account suspension. Each masked call is logged to prevent abuse.

30. AI Face Verification & Identity Confirmation

30.1 Optional AI Face Match

The Platform offers an optional AI-assisted face verification step during ID verification. When enabled, the Platform compares a User's uploaded selfie to their uploaded ID document photo using a third-party identity-verification vendor (which may include Onfido, Jumio, or AWS Rekognition). The purpose is to confirm that the person submitting the ID is the same person shown on the ID document.

30.2 Not a Background Check

AI face verification is an identity-confirmation tool only. It is NOT a criminal background check, sex-offender-registry search, or motor-vehicle-record check. A "verified" face-match result confirms only that the selfie matches the ID photo — it does not confirm the ID is genuine, that the User has a clean criminal record, or that the User is safe to ride with. Users acknowledge that face verification is optional and does not replace their own responsibility to evaluate safety.

30.3 Vendor Data Processing

When a User submits a selfie and ID document for face verification, those images are transmitted to the configured third-party vendor for processing. Thizz LLC does not store the biometric template or the vendor's comparison result beyond the audit log entry (vendor, verified status, confidence score). The vendor's processing of the images is governed by the vendor's own privacy policy and terms.

30.4 Accuracy Disclaimer

AI face-matching is not perfect. False positives and false negatives may occur. Thizz LLC does not guarantee the accuracy of any face-verification result and is not liable for any decision made in reliance on a face-verification outcome.

31. White-Label City Mobility Network

31.1 City Portals

The Platform offers a white-label City Mobility Network that allows participating Texas cities, employers, and economic-development agencies to deploy Thizz's carpool, vanpool, and workforce-mobility infrastructure under their own brand. Each participating city receives a dedicated City Portal with localized ride listings, employer dashboards, and economic-development analytics.

31.2 Employer & Economic-Development Dashboards

Through a City Portal, employers may provision branded workplace commute programs with verified-employee matching. Economic-development agencies receive workforce-access analytics quantifying how the Platform closes transportation barriers in underserved zones. All analytics are aggregated and do not expose individual User trip data to city or employer partners.

31.3 AI Commuter-Graph Driver Selection

The City Portal includes an AI commuter-graph engine that ranks the best-fit drivers for a given rider request based on route overlap, schedule proximity, and rider preferences. The rankings are recommendations only — the Platform does not guarantee a match, and all bookings remain peer-to-peer cost-sharing arrangements subject to all terms above, including the three (3) round-trip daily limit.

31.4 Data Sharing with City Partners

Thizz LLC shares only aggregated, de-identified analytics with city and employer partners. Individual User names, phone numbers, addresses, and trip details are never shared with city or employer partners except as required by law or with the User's explicit consent.

32. Social Connect & Friend Matching

32.1 Social Connect Profiles

The Platform offers an optional Social Connect feature that allows Users to link their social media handles (Instagram, TikTok, X/Twitter, Facebook, LinkedIn, Snapchat, Discord, Spotify), music taste, interests, hobbies, and bio keywords to a social profile. This profile is used to help Users find and match with compatible riders and drivers.

32.2 Manual Friend Matching

Users may browse other socially-connected Users within the matching pool and manually select a preferred companion to ride with. Manual matching is a user-driven selection tool — the Platform facilitates discovery and communication but does not guarantee that a selected User will accept or be available for any given trip. All bookings remain peer-to-peer cost-sharing arrangements subject to all terms above, including the three (3) round-trip daily limit.

32.3 AI Social Matching

The Platform provides an AI social-match engine that analyzes two Users' social profiles — shared platforms, overlapping bio keywords, music taste alignment, and lifestyle interests — and computes a compatibility score (0–100), shared interests, a music-alignment sub-score, and suggested conversation starters. The AI output is a recommendation only and does not guarantee safety, compatibility, or a successful trip. Users retain sole responsibility for evaluating the safety of any carpool arrangement.

32.4 Social Handle Visibility

Connected social handles and profile details are visible only to other authenticated Users within the Social Connect matching pool and are never published to the public internet. Users may edit or disconnect any channel at any time. The Platform does not access Users' private social media accounts — only the handles and preferences the User voluntarily enters are stored.

32.5 No Endorsement

A high AI compatibility score or a manual match selection does not constitute an endorsement, warranty, or representation by Thizz LLC regarding the character, safety, or reliability of any User. All Users ride entirely at their own risk as set forth in Section 13.4.
